Terms of Service & EULA

1. Acceptance of Terms

By downloading, installing, accessing, or using the Audio Notes mobile application and server-side APIs (collectively, the "Services"), you agree to be bound by this End User License Agreement ("EULA") and Terms of Service. If you do not agree, do not install or use the application.

2. License Grant

We grant you a personal, revocable, non-exclusive, non-transferable, limited license to download, install, and use the Audio Notes application on iOS devices that you own or control, strictly in accordance with these Terms and the App Store Terms of Service.

3. Subscriptions and Free Quotas

Audio Notes offers a basic free tier and a Pro tier via auto-renewable in-app subscriptions:

  • Free Tier Quotas: Basic plans may have lifetime recording limits or features restrictions.
  • Pro Tier Subscriptions: Grants access to iCloud backups, unlimited recording time, enhanced E2EE note sharing, and translation capabilities.
  • Billing: Transactions, auto-renewals, and refunds are handled exclusively by Apple Inc. through the App Store and are governed by Apple's billing policies.

4. Fair Use & API Terms

Our voice-to-text transcribing and AI summarizing features incur computational costs on our backend servers. To protect these resources:

  • You agree not to abuse, bypass, or spam the API endpoints (including transcription, summarization, and chat routes).
  • Automated access, scripting, scraping, or sending concurrent bot requests is strictly prohibited.
  • We reserve the right to apply rate limits, temporary blocks, or permanent suspension to users or IP addresses exhibiting abusive patterns.

5. AI-Generated Output Disclaimer

Audio Notes utilizes advanced artificial intelligence models (such as Whisper and GPT via OpenRouter) to provide transcription, formatting, summaries, speaker attribution, and translation.

⚠️ AI Disclaimer: AI-generated outputs may occasionally be inaccurate, incomplete, or contain spelling errors or incorrect attributions (also known as hallucinations). You acknowledge and agree that you will not rely solely on AI-generated outputs for business, medical, legal, or other critical decisions.

The Services are provided "as is," and we make no guarantees, warranties, or representations regarding the accuracy or reliability of AI outputs.

6. E2EE Note Sharing and Data Loss

When you use the note sharing feature, metadata and audio are encrypted client-side using unique AES-GCM keys which are kept in the generated link fragment (the part after the #). Because our servers never receive the hash fragment:

  • We cannot view, decrypt, or access your shared files.
  • If you lose the generated URL, we cannot retrieve, recover, or decrypt the data for you.
  • We are not responsible for any data loss, leakage, or unauthorized access if you expose or share your link/key with others.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the developer of Audio Notes be liable for any direct, indirect, incidental, special, or consequential damages whatsoever (including, without limitation, damages for loss of profits, data loss, business interruption, or accuracy of transcriptions) arising out of or related to your use of or inability to use the Services.

8. Governing Law

These terms and your use of Audio Notes shall be governed by and construed in accordance with the laws of Hong Kong, without giving effect to any principles of conflicts of law.
